The Corporate Advisory department has been offering a comprehensive range of services to small business, medium-sized enterprises, and large corporates as well as financial investors and creditors since the 1990s, supporting them to achieve their strategic objectives and increase shareholder value. Strong positions held by Erste Bank in the local and regional markets ensure the department’s commitment to provide support for companies facing strategic decisions of outstanding significance. Erste’s corporate advisory services include strategic and management consulting; transactions on bond and equity markets; pre-IPO consultancy; stock exchange floatation and delisting; consultancy in mergers and acquisitions, corporate sell-offs; privatisation and business appraisal.

The specialists required for each project are selected, as project requirements dictate, in part from our pool of consultants with a thorough knowledge of the local market and long years of experience, and in part from international experts working in foreign competence centres.

Underpinned by thelocal activity and experience we offer real answers and solutions to the strategic and management challenges our customers are facing, ensuring thereby that our services will allow the company in question to enter the next phase in its life cycle.

In the course of strategic and management advisory projects, we engineer and monitor the development of the company in cooperation with the owners and corporate management for an extended period of time, contributing to a jointly designed corporate life path. Equity market transactions and acquisition deals are project-based, with our experts relieving owners and management of specific roles and tasks for the duration of the projects.

Services

Strategic and management consultancy:
The service package to support the management and owners is designed primarily for companies facing strategic issues (deceleration of growth, loss of market share, use of efficiency reserves, implementation of new functions, equity shortage, etc.). Specific steps and activities are developed after personal consultations with the contracting organisation.

Pre-IPO advisory:
In the path for a company to become quotable, the objective of a consulting process is for Erste Investments Co. Ltd. to show the customer the standards, processes, organisational and strategic components, and have them approved and implemented by the customer, that help the company reach the next level of growth cycle and begin to become a large corporation and an active player of the equity market by utilising the power of being listed on the stock exchange. Going and being public requires a considerable degree of transparency—a transparent organisation and business activity—therefore Erste primarily supports development and recommends changes in the following areas:

  • assessing the company’s level of quotable status, due diligence;
  • rearranging the economic and financial reporting system;
  • increasing organisational efficiency and modifying internal regulations;
  • enhancing financial efficiency and requirements;
  • designing and implementing growth strategies;
  • implementing new communication channels and methods;
  • bolstering long-term strategic approach;
  • reconsidering incentive system, implementing stock incentives, and finally

  • coordination of Central Clearing House and Depository procedure;

  • creating offer documents,
  • specifying recommended offer price,
  • coordinating the work of other consultants.

M&A consulting:
We offer our customers support in acquisitions, sell-offs, and mergers by the following components, among others:

  • designing acquisition/sale strategy;
  • specifying preliminary company value;
  • compiling information package,
  • creating shortlists (targets or investors);
  • making contacts and obtaining bids;
  • organising due diligence;
  • compiling data room;
  • selecting the best bid;
  • compiling financing facilities;
  • conducting negotiations and arranging financial settlement for the transaction.
